The Post Money SAFE with Evaluation Cap
This is the latest version of Y Combinator’s post money SAFE.
A SAFE, Simple Agreement for Future Equity, is the most popular investment instrument used by startups to document the capital received from an investor during a crowdfunding campaign.
Y Combinator, one of the most popular seed-stage startup accelerators, created the SAFE to simplify the documentation of investment into startups.
It contains the important details surrounding the investment such as the startup’s legal name and address, the investor’s name and address, the amount invested, and the value of the startup’s stock at the time of the investment as well as other important details such as the valuation cap and discount rate, if any.
